Our advisory services business provides confidential, strategic and thoughtful advice to both public and private companies across all aspects of M&A transactions.

We advise clients in a number of different situations across many industries and geographies, providing the following services:

• Divestitures and Sale Transactions. When we advise clients that are contemplating the sale of their businesses, assets or entire company, our services include evaluating and recommending financial and strategic alternatives with respect to a sale, advising on the appropriate sales process and timing for the situation, considering potential valuation issues, assisting in preparing a confidential information memorandum or other appropriate sales materials, contacting selected qualified acquirers and assisting in negotiating and closing the sale. We also, if appropriate, render a fairness opinion related to the transaction.
   
• Mergers and Acquisitions. When we advise companies about the potential acquisition of another company or certain assets, our services include evaluating potential acquisition targets, providing valuation analyses, evaluating and proposing financial and strategic alternatives and rendering, if appropriate, fairness opinions. We also may advise as to the timing, structure, financing and pricing of a proposed acquisition and assist in negotiating and closing the acquisition.
   
• Special Committee and Fairness Opinion Assignments. North Point Advisors is well known for our independence, quality and thoroughness of work,  and degree of senior-level attention devoted throughout the project lifecycle. Our firm does not underwrite securities, publish securities research or act as a lender. We are therefore not burdened by these potential conflicts of interest when advising Boards of Directors and rendering fairness opinions. Our objectivity, integrity and discretion allow us to provide an unbiased perspective.
   
• Corporate Finance Advisory. We often serve as an independent and objective advisor in financing situations. North Point Advisors has developed an expertise in assisting clients with respect to the entire spectrum of capital structure decisions, from underwriter selection and management to negotiation of financing terms and transaction execution.
   
• Financial Sponsor Advisory. North Point maintains a strategic focus on the financial sponsor industry and provides many of the above referenced services in both the acquisition and divestiture of portfolio companies.
